TERMS OF SERVICE

This Terms of Service is entered into between Gallop & Gallop Communications, Inc. DBA House Decoder (“House Decoder,” “we,” “us,” or “our“), the owner of www.housedecoder.com (the “Website“), and you, whether as a Website visitor (“User“) or a client purchasing advertising services (“Advertiser“). Individually, each is a “Party”; collectively, they are the “Parties.”

This Terms of Service is legally binding when the User accesses the Website or an Advertiser clicks “I Agree” or executes an Agreement physically or electronically.

 

SECTION A: WEBSITE TERMS OF USE (APPLIES TO ALL VISITORS)

A.1 Acceptance & Changes

Consent: By using this Website, the User agrees to these Terms and our Privacy Policy (linked at the bottom of the Website). If the User does not agree, the User must stop using the Website immediately.

Modifications: We can change these Terms or update, pause, or shut down the Website at any time without notice. Checking for updates is the User’s responsibility; continuing to use the Website means the User accepts the changes.

 

A.2 Prohibited User Conduct

To keep our Website safe and professional, the User is strictly prohibited from engaging in:

Illegal, Harmful, or Adult Content: No posting threatening, defamatory, obscene, hateful, or explicit adult material.

Impersonation & Fraud: Do not pretend to be a House Decoder employee or falsely claim an affiliation with us. No using the Website for fraudulent schemes.

Spam & Systems Abuse: No unauthorized marketing, spam, or transmission of viruses, worms, or malicious code. Do not intentionally overload our network.

Data Mining & Scraping: Do not use bots, spiders, crawlers, or automated tools to copy or download our content without written permission.

Hacking & Reverse Engineering: Do not attempt to access non-public areas, share passwords with third parties, or decompile any software on the Website.

 

A.3 Content & Community Rules

User Content Responsibility: The User is solely responsible for text, comments, or images the User posts to our public areas or social media. We have the right to pre-screen or remove content at our discretion, and can ban violators.

Legal Disclosures: We may access, preserve, and disclose the User’s account info or posted content if required by law or to protect public safety.

Public License: Any content the User post publicly is treated as non-confidential. The User grants House Decoder a permanent, royalty-free, worldwide right to use, edit, copy, and display the User’s content in any media (including print and advertising) without compensation or approval.

Third-Party Links: We provide links to outside websites for convenience only. We do not endorse or control them; clicking them is entirely at the User’s own risk.

User Disputes: We are not responsible for the User’s interactions with other users or third parties found through the Website. Any disputes or exchanges of goods/services are strictly between the Users.

 

SECTION B: ADVERTISING & BILLING TERMS (APPLIES ONLY TO ADVERTISERS)

B.1 Scope & Advertising Operations

Licenses & Compliance: The Advertiser warrants and represents that any and all required professional licenses, permits, bonds, and insurances are active, current, and fully comply with applicable local, state, and federal laws.

Art and Assets Warranty: The Advertiser warrants that all submitted materials (logos, photos, slogans, text) are original or used with proper legal authorization and do not infringe on any third-party copyright, trademark, trade name, patent, or privacy rights.

Art and Assets Deadline: All advertisement art and assets must be submitted during the month prior to the scheduled distribution month.

Proofs & Sign-Off: The Advertiser is solely responsible for reviewing and approving their advertisement proof, including layout, text, images, contact info, offers, and other content. Proof approvals or change requests must be submitted by email; verbal changes will not be accepted.

Errors and Mistakes: House Decoder takes reasonable care to ensure advertisement accuracy. However, because the Advertiser is solely responsible for reviewing and approving the proof, the Advertiser assumes all responsibility for any errors found in the final printed advertisement. Once printing begins, the advertisement cannot be changed, canceled, or reprinted.

Advertisement Print Color: The Advertiser understands and accepts that slight color variations can occur between digital proofs and the final printed version of House Decoder.

Advertisement Limitation of Use: Advertisements created by House Decoder are explicitly for use within our services and publication, House Decoder. High-resolution files will not be provided for use in other media or outside publications. If a competitor reuses our design layout for the Advertiser’s business elsewhere, it constitutes intellectual property infringement.

No ROI Guarantees: Lead and sales volume are not guaranteed. Success may vary based on market conditions, timing, location, and other factors beyond House Decoder’s control.

Distribution Timing: House Decoder uses the United States Postal Service (USPS) for mailings. Once mailings are submitted to the USPS, delivery timing is entirely controlled by the USPS.

 

B.2 Payment & Billing Schedule

Payment Terms: House Decoder will email the Advertiser’s Billing Contact an invoice and/or a payment link on the 1st of each month during the advertising term. Payments are due as specified in the invoice.

Automatic Recurring Payments: The Advertiser expressly agrees and authorizes that payments will be automatically deducted or charged each month for the duration of the advertising term.

Prepayment Requirement: Advertising work will not begin, and advertisements will not be printed, until payment has been received and cleared.

Accepted Payment Methods: We accept checks, money orders, Zelle, debit cards, and all major credit cards.

Processing Fees: A 3% processing fee applies to credit card payments. No processing fee applies to payments made by check, money order, or Zelle.

Late Payments: Late payments may incur a $50 late fee and can result in the immediate suspension of current or future advertising, collection efforts, and additional administrative fees.

Outstanding Balances: Unpaid balances are subject to a monthly service charge of 1.5% (18% annually), or the maximum rate permitted by law, whichever is lower. Past-due accounts may be sent to collections.

Returned Payments: Bounced checks or failed payments may result in the removal of current or future advertising. A $35 returned payment fee applies, alongside any applicable legal or collection costs.

Chargebacks & Stop Payments: If a payment dispute, credit card chargeback, or stop payment is initiated without prior written communication with House Decoder, the Advertiser will be held responsible for a $100 administrative fee, in addition to the outstanding balance and related recovery costs.

Refund Policy: No refunds will be issued once advertisement design has begun or the advertisement proof has been approved. Refunds apply only to prepaid, unused advertising months and strictly exclude advertising credits, taxes, processing fees, and other incurred costs. Approved refunds will be issued to the original payment method when available; otherwise, an advertising credit will be provided. No refunds are given for completed advertising months.

 

B.3 Commitments & Cancellations

Cancellation of Advertising: To cancel advertising, a written request (via mail or email) must be submitted 30 days before the publishing and distribution month in which the Advertiser wants to stop advertising.

Terminate & Refuse Rights: House Decoder reserves the right, at its sole discretion, to terminate advertising, reject any advertising copy or art that does not meet its standards, and refuse service to any person or company for any reason. All outstanding financial balances survive termination and any refunds will be granted based on the Refund Policy in this Terms of Service.

 

B.4 Confidentiality

Both Parties (we and Advertiser) agree to keep all trade secrets, financial records, client lists, and pricing models strictly confidential. This does not apply to info that becomes public knowledge through no fault of the receiving party.

 

B.5 Limitation of Liability & Indemnity

Indemnification: The Advertiser assumes all responsibility for submitted advertising materials and agrees to fully defend, indemnify, and hold harmless House Decoder, their publisher, owners, officers, agents, and employees from any claims, losses, liabilities, damages, or expenses (including reasonable attorney’s fees) arising out of the publication of materials, user content, business operations, or violation of these Terms.

Damages Cap: Under no circumstances shall House Decoder be liable for lost profits, lost revenue, or consequential damages. Our maximum aggregate legal liability for any cause of action is capped at the total amount actually received by us from the Advertiser during the advertising term preceding the claim.

Failure to Publish: If we fail to publish an advertisement, our sole liability is limited to the cost of that specific advertisement, which will be refunded or credited toward future advertising.

Non-Compete Remedy: House Decoder reserves the right to seek damages and legal remedies against any current or former Advertiser who elects to launch a product and/or service that competes directly or indirectly with our print or digital products and/or services.

Force Majeure: House Decoder is not liable for advertising service delays caused by events beyond our reasonable control, including hurricanes, severe weather, natural disasters, declared States of Emergency, strikes, utility failures, or cyberattacks.

 

SECTION C: OWNERSHIP, LEGAL PROTECTION, & FRAMEWORK

C.1 Intellectual Property

Our Property: All original materials on this Website and all original templates, designs, and advertisements created by House Decoder are our sole property. They are protected by copyright laws.

 

C.2 Warranties, Authority, & Disclaimers

Services Provided “As-Is”: The Website and our advertising services are provided on an “as is” and “as available” basis. House Decoder disclaims all warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

 

C.3 Governing Law & Disputes

Florida Law: These Terms are governed by and construed under the laws of the State of Florida, without regard to conflict of law principles.

Exclusive Venue: Any legal action or proceeding arising out of these Terms, the Website, or our advertising services must be brought exclusively in the state or federal courts located in St. Lucie County, Florida. Both Parties expressly consent to this jurisdiction.

Statute of Limitations: The User or Advertiser agrees that any claim or legal action arising out of this Terms of Service must be filed within 1 year after the cause of action arose, or it is permanently barred.

Attorney’s Fees: The prevailing party in any lawsuit related to this Terms of Service is entitled to recover all reasonable court costs and attorney fees from the non-prevailing party.

 

C.4 General Clauses

Severability & Waiver: If a court rules any provision of these Terms invalid, that piece will be removed, and the remaining provisions will stay fully enforceable. Our failure to enforce a right does not waive our right to enforce it later.

Assignment: The User or Advertiser may not assign or transfer rights under this Terms of Service without our written consent. House Decoder is free to assign House Decoder’s rights and obligations at any time.

Signatures: Digital signatures, electronic executions (such as Dropbox Sign), or clicking “I Agree” are fully legal, valid, and binding.
